This document outlines the governance structure of Abacus, showing how different committees and roles are organized to oversee the company’s operations. Shareholders appoint the Board of Directors, which includes both executive and independent non-executive members responsible for strategic oversight. The Board, in turn, appoints key committees such as Risk, Remunerations, IT Governance, Social Ethics and Transformation, and Audit, each with a mix of independent and non-executive members to ensure balanced and objective governance.
The CEO and the Executive Committee (EXCO) manage the company’s day-to-day operations, while specialized heads are responsible for internal audit, actuarial controls (separately for life and non-life insurance), risk control, and compliance. These roles report to the appropriate committees or the Board, ensuring checks and balances are maintained. For customers, this structure means that Abacus has a robust system to manage risk, compliance, and ethical conduct, which supports the company’s stability and accountability in handling insurance matters.
